Terms of Service

1. Who we are

Proa is a design and experimentation platform for online stores, operated by Vasta, Inc., a California corporation with its principal office at 3313 Adriatic Ave, Long Beach, CA 90810, United States ("Vasta", "we"). These Terms govern the use of the tryproa.com website and the Proa platform (the "Service").

2. Acceptance

By creating an account, purchasing the Service, or simply browsing the website, you agree to these Terms. If you purchase on behalf of a company, you represent that you have authority to bind it to these Terms.

3. The Service

Proa provides, among other capabilities, assisted generation of pages and sections for online stores, publication of content variants on the customer's store, and aggregate measurement of results. Specific capabilities, limits, and service levels are those described in the commercial proposal or subscribed plan.

4. Account and customer responsibilities

• Keep access credentials confidential;
• Ensure you hold the rights to the content, trademarks, and materials you provide to the platform;
• Review and approve generated content before publishing it to your store; the publishing decision is always the customer's;
• Use the Service in compliance with applicable law and with the terms of integrated platforms (for example, Shopify and Figma).

5. Intellectual property

The Service, its brand, code, and interface belong to Vasta. Content provided by the customer remains the customer's. Pages and sections generated by the platform for the customer may be used freely by the customer in their store, as per the subscribed plan.

6. Payment and cancellation

Prices, billing cycle, and cancellation conditions are those defined in the commercial proposal or checkout page. Cancellation does not entitle the customer to a pro-rata refund of periods already paid, unless otherwise required by law or contract.

7. Limitation of liability

The Service is provided as is. To the maximum extent permitted by law, Vasta is not liable for lost profits or indirect damages arising from use of the Service. Nothing in these Terms excludes liability that cannot be excluded by law, including consumer protection rights where applicable.

8. Privacy

Our processing of personal data is described in our Privacy Policy. When we process shopper data on a customer's behalf, through the Proa Shopify app or the Proa script, the Data Processing Addendum applies and forms part of these Terms.

9. Changes

We may update these Terms. Material changes will be communicated with reasonable notice through the account's contact channels. Continued use of the Service after changes take effect constitutes acceptance.

10. Governing law and venue

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules. Any dispute arising from these Terms will be brought in the state or federal courts located in Los Angeles County, California, and the parties consent to their jurisdiction, except where a different venue is mandated by law that cannot be waived.
